WHEN CAN SINGLE PERSON SIGN AGREEMENT ON BEHALF OF A COMPANY.
A Company signs and executes deeds by affixing company’s seals in the presence of the company secretary and a director.
To enable a single person to sign and execute agreements on behalf of any company within or outside Nigeria, such company has to give a written appointment to such person. It has to be written under seal of the company and signed by the company secretary and a director, authorising such person to represent and executive all or some specific agreements on behalf of the company.
Note that any agreement signed on behalf of a company by such person duly appointed and authorised by a company to do so, is binding on the company as if it was made and signed by the company’s secretary and a director with company’s seal.
