Abuja-based legal practitioner, Arome Abu, Esq., has debunked recent media reports linking him and his clients to alleged criminal charges filed by the Inspector General of Police over matters concerning JonahCapital Nigeria Limited and the ownership of River Park Estate.

In a statement issued on Saturday, July 13, 2025, Abu described the claims as unfounded and misleading, noting that he has not been served with any charge and the core issues surrounding the dispute are already subjects of ongoing civil litigation in over ten courts across the Federal Capital Territory.

Addressing the allegations in detail, Abu explained that the increase in JonahCapital Nigeria Limited’s share capital from ₦1 million to ₦100 million was carried out in compliance with a Corporate Affairs Commission (CAC) directive issued on December 5, 2023. The notice mandated all companies with foreign participation to raise their minimum paid-up capital to ₦100 million or risk winding-up proceedings.

He clarified that the necessary resolution for the increase was validly signed by two current directors of the company, and his role was purely as an accredited CAC agent facilitating lawful documentation under the Companies and Allied Matters Act (CAMA).

Abu also addressed claims related to the filing of documentation regarding the removal of certain directors. He stressed that the directors in question had voluntarily resigned one in 2013, the other in 2017 long before his legal representation of the company began.

“For context, I was still in university in 2013 and graduated in 2014. I could not have participated in that process,” he said, adding that filing such corporate resolutions is a routine legal act, not a criminal offence.

The lawyer noted that the Nigeria Police Force had already investigated the matter, during which he honoured their invitation and submitted all necessary documentation and explanations.

Abu said he was surprised by the news of an alleged charge, as he has not been served with any court process.

He emphasized that any dissatisfaction with filings at the CAC should be resolved through civil procedures in court, not criminal allegations.

“Filing resolutions at the Corporate Affairs Commission is not a criminal offence. Where any person is dissatisfied, the appropriate recourse is to approach the Federal High Court, not to criminalize routine corporate filings,” he asserted.

Abu described the criminal allegations as part of a broader campaign to divert attention from the substantive legal dispute over the ownership and control of River Park Estate.

“I remain undeterred by this publication or the purported charge. This is clearly an attempt to distract from the real legal questions pending before competent courts. I remain committed to upholding the law and providing quality representation to my clients,” he concluded.

RE: RIVER PARK ESTATE OWNERSHIP FEUD PRESS STATEMENT BY AROME ABU, ESQ, IN RESPONSE TO RECENT ALLEGATIONS CONCERNING JONAHCAPITAL NIGERIA LIMITED AND RIVER PARK ESTATE

My attention has been drawn to a recent news publication alleging that I, Abu Arome, alongside my clients, have been charged by the Inspector General of Police in relation to the affairs of JonahCapital Nigeria Limited and Houses for Africa Nigeria, particularly as it concerns the ownership and control of River Park Estate.

Let me state categorically that I have not been served with any charge, and this matter is already the subject of ongoing civil litigation in over 10 courts in the FCT; hence, I shall restrict my comments to the specific allegations that relate to the role I played as a legal practitioner.

  1. On the Allegation of Filing a Resolution to Increase the Share Capital of the Companies

The increase in the company’s Minimum paid-up share capital from ₦1,000,000 to ₦100,000,000 was done pursuant to a public notice issued by the CAC on December 5, 2023, which mandated all companies with Foreign Participation to increase their Minimum Paid-up Capital to ₦100,000,000 within six months or risk compulsory winding-up proceedings.

The resolution in question was duly signed by two directors of JonahCapital Nigeria Limited, who were, and still remain Directors of the company till date. My role in this process was purely as an accredited agent of the Corporate Affairs Commission and within the remit of my duties as a legal practitioner. I merely facilitated the submission of documents that were validly executed by authorized persons in compliance with the CAMA.

  1. On the Allegation of Filing Removal of Directors

The second allegation is that I filed documentation for the removal of certain directors from JonahCapital. To clarify, under Nigerian company law, directors may vacate office through four primary modes:

  1. Retirement
  2. Removal
  3. Resignation
  4. Death

In the present case, the directors in question resigned from their positions. The first resignation occurred in 2013 and was filed accordingly at the CAC at that time. For context, I was still in the university in 2013 and graduated in 2014. I could not have been involved in that process. The second resignation occurred on July 1, 2017, at a time when I had no professional engagement or relationship with JonahCapital Nigeria Limited.

While I am constrained from publishing the resignation letters due to privacy and ethical reasons, I am confident in the validity and legality of the filings made in respect of those resignations.

I wish to emphasize that filing resolutions at the Corporate Affairs Commission is not a criminal offence. Where any person is dissatisfied with such filings, the appropriate recourse is to approach the Federal High Court for redress, not to criminalize routine corporate filings.

It is important to note that the Nigerian Police Force previously conducted an investigation into these matters. I was invited and I honoured their invitation and provided the necessary explanations and documentation.

As said above, I have not been served with any charge or court process. I am therefore surprised by the news report alleging the filing of a criminal charge.

In all, I remain undeterred by the publication or the purported charge. I view this development as part of an ongoing strategy to distract from the core issues in dispute, especially those pending before the courts bordering on the ownership of River Park Estate. I will not be distracted and will continue to provide quality legal representation to my clients.
