Promoters of the proposed company, Speak Out for Justice Advocacy Ltd/GTE, have formally demanded that the Corporate Affairs Commission (CAC) proceed with the registration of their organisation, citing the failure of the Attorney-General of the Federation (AGF) to grant or refuse consent within the statutory period stipulated under Section 26(1) of the Companies and Allied Matters Act (CAMA) 2020.

In a letter addressed to the Registrar-General of the CAC, Amb. Hameed Ajibola Jimoh, Esq., one of the promoters, stated that the application for the AGF’s consent was submitted prior to 22nd August 2025, and that the statutory 30-day period for approval or refusal had long expired. He highlighted that, by law, the consent of the AGF is no longer required under Section 26(7) of CAMA, which entitles promoters to publish the memorandum in three national newspapers and proceed with registration.

According to the letter, the required notices of publication were carried out on 23rd and 24th October 2025 and uploaded to the CAC portal on 26th October 2025. However, the CAC allegedly issued a query on 27th October 2025 instructing promoters to still await the AGF’s consent, a directive described as inconsistent with the law.

Citing established Nigerian case law, including I.N.E.C. v. Action Congress [2009] and Corporate Ideal Ins. Ltd. v. Ajaokuta Steel Co. Ltd., the promoters argued that statutory procedures must be followed strictly, and failure to do so amounts to non-compliance. The letter further warned that if the CAC fails to withdraw the query and proceed with registration within seven days, the promoters intend to approach the Federal High Court, Abuja, seeking an Order of Mandamus compelling the Commission to act and claiming damages of ₦10 million for the delays and associated financial costs.

Amb. Hameed Ajibola Jimoh, a chartered arbitrator and mediator, called on the Commission to act in accordance with the law, emphasizing that continued inaction not only frustrates promoters but also reflects poorly on Nigeria’s corporate governance framework.

MY COMPLAINT AGAINST CAC

In a related development, TheNigeriaLawyer was alerted to a persistent error in CAC registrations affecting MEMART (Memorandum and Articles of Association) documents nationwide. Customers and CAC-accredited agents reported that, since 1st October, newly issued MEMART documents incorrectly list a single signature across all directors’ signature columns. The flaw renders these documents legally questionable and unusable for banking, taxation, or operational purposes. Complaints lodged with CAC have reportedly gone unaddressed, causing widespread frustration among businesses and agents attempting to complete company registrations.

A lawyer who wished to remain anonymous confirmed the issue, describing it as “a terribly embarrassing error that has affected registrations across the country.” Sources noted that daily complaints have been lodged with the Commission, but CAC has been unresponsive, highlighting ongoing challenges faced by businesses navigating the corporate registration process.
