Obra Legal Nigeria recently hosted Jaime Cabanyes, an analyst from the Mergers & Acquisition Transaction Services team at Deloitte Spain, in a strategic engagement with the firm’s partners. The session, part of the Obra Legal Insights Series 3.0, focused on M&A tax due diligence and structuring, highlighting the critical role of taxation in corporate finance decisions.

During the meeting, Ikechukwu Onuoma, SAN, emphasized the significance of taxes on corporate decision-making. He noted, “Taxes have a strong impact on the three main decisions — Investment, Financing, and Dividends — and therefore on creating shareholder value. Taxes should be a vital concern for managers, particularly in the Finance Department, as tax obligations can reduce the net present value and returns of any project.”

The session provided partners with an in-depth understanding of the ways tax considerations influence mergers and acquisitions, helping organizations make informed, strategic decisions in complex transactions. Participants explored practical approaches for structuring deals while minimizing tax liabilities and optimizing shareholder value.

The engagement comes at a time of increasing investment opportunities between Spain and Nigeria. Both countries are actively strengthening their bilateral relationship through collaborations in economic development, energy, security, and agricultural sustainability, particularly in 2025 and 2026.

Jaime Cabanyes, Deloitte Spain’s M&A expert, shared insights from the Spanish and European markets, highlighting best practices in tax due diligence, risk management, and deal structuring. The interactive session allowed Obra Legal partners to explore cross-border investment strategies and leverage global expertise for local applications.

The Obra Legal Insights Series, now in its third edition, aims to equip legal practitioners and corporate advisors with strategic knowledge and thought leadership on emerging trends in business law, finance, and investment.

At the conclusion of the session, participants reaffirmed their commitment to strengthening professional expertise in corporate finance, mergers, and acquisitions, positioning Obra Legal as a leading advisory hub for high-value transactions in Nigeria and beyond.
