The Corporate Affairs Commission has announced an investigation into the membership, ownership and management of Dorman Long Engineering Company Limited, with registration number RC 744.

In a public notice dated September 8, 2026, the Commission said the company’s file had been placed under caveat and classified as “under investigation” pending the conclusion of its inquiry.

The CAC said the investigation was being conducted pursuant to its statutory powers under Sections 8(1)(c), 358(2), and 369(1) and (2) of the Companies and Allied Matters Act, 2020.

According to the Commission, parties laying competing claims to the company had allegedly continued to undertake actions capable of undermining its regulatory authority despite an express directive that the status quo be maintained.

The CAC also expressed concern that some of the reported actions could interfere with proceedings in two pending cases identified as Suit No. FHC/LAG/CS/1203/2026 and Petition No. FHC/ABJ/PET/17/2026.

“The Commission notes with regret that, in spite of this position and express regulatory directive to maintain the status quo, contending parties have been involved in acts capable of not only undermining regulatory authority but also contemptuous of court actions,” the notice stated.

The Commission consequently warned all parties against resorting to self-help while the cases remained before the courts.

It said it would not recognise any changes made to the company’s records in defiance of its directive or in a manner capable of interfering with the pending judicial proceedings.

“Parties are by this publication advised to desist from actions that could be construed as self-help in the face of pending court actions,” the Commission said.

“They are to note that the Commission will not recognise changes made in contempt of regulatory directive or pending lawsuits.”

The CAC further disclosed that a team of inspectors had been appointed to investigate the affairs of Dorman Long Engineering pursuant to the relevant provisions of CAMA 2020.

It directed the contending parties to cooperate fully with the inspectors and provide the assistance required to determine the company’s membership, ownership and management.

The Commission also urged the parties to allow the pending court proceedings to run their full course and undertake to implement the final judicial outcome.

Dorman Long Engineering is a Nigerian engineering and fabrication company operating across the oil and gas, infrastructure and industrial sectors.

The CAC notice did not identify the contending parties, specify the changes allegedly attempted or state when its investigation would be concluded.
